Cyprus registered office and virtual office rules in 2026
What the Cyprus registered office rule requires in 2026, how form HE2 and the 14-day deadline work, and when a virtual or serviced office is enough for a firm.
Every Cyprus company must have a registered office in the Republic, and the address is published in the Registrar’s electronic register. It is where official letters are delivered and where the company’s statutory registers are kept, so it is far more than a line on the letterhead.
The address is first notified at incorporation, one of the steps explained in our guide on how to set up a company in Cyprus. Many international owners then ask whether a virtual or serviced office can serve as that address, and what else the company may need to show to banks and the tax authorities. This article draws on the Registrar’s guidance as of October 2026.
Key takeaways
- A Cyprus company must maintain a registered office in Cyprus that is not a mailbox.
- Statutory registers, such as the registers of members, directors and charges, are kept at the registered office.
- The address is notified on form HE2 at incorporation and within 14 days of any change.
- The filing fee is €20, and late notification can cost up to €250.
- A registered address alone does not demonstrate management and control in Cyprus for tax purposes.
What the law requires
The Registrar states that a company must maintain a registered office in the Republic of Cyprus, which must not be a mailbox. All notices and communications, including letters from the Registrar itself, are sent to this address, and the company’s registers and other documents are kept there.
In practice, the registered office must therefore be a physical address where someone can receive documents on the company’s behalf and where the registers can be inspected when the law allows. Many companies use the office of their lawyer, accountant or corporate service provider for this purpose.
Notifying and changing the address
The registered office is notified on form HE2 together with the incorporation application. If the address changes, form HE2 must be filed again within 14 days of the change.
| Item | Detail as of 2026 |
|---|
|—|—|
| Form | HE2 |
|---|---|
| Deadline for a change | Within 14 days |
| Filing fee | €20, online or on paper |
| Accelerated procedure | €20 extra |
| Late notification | Up to €50, then €1 a day, capped at €250 |
The late-filing regime has applied since 18 December 2020. The change of address is reflected in the public register, so banks, auditors and counterparties will see the new address once it is processed.

Virtual offices and serviced addresses
A virtual office typically combines a business address with mail handling, call answering and the use of meeting rooms when needed. It can be a practical solution for a holding company or for a business in its early months, provided the arrangement allows documents to be received and the statutory registers to be kept at the address.
What a virtual office cannot do on its own is give the company substance. Three situations show where more is expected:
- Tax residence. A company is tax resident in Cyprus if it is managed and controlled there. Board meetings held in Cyprus, local directors with real decision-making authority and records kept in Cyprus carry more weight than an address.
- Banking. Banks ask how and where the business is run, and an address with no activity behind it can slow an account opening.
- Employment of foreign staff. Companies registering under the Business Facilitation framework must operate independent offices in suitable premises, separate from any private residence.
Choosing the right set-up
For many owners the answer changes over time. A company may begin with a registered address and virtual office, then move to a serviced desk or a leased office once it hires staff or seeks to rely on the Business Facilitation framework. Planning that path in advance avoids a rushed change of address later, and it gives the bank and the auditors a consistent picture of how the business is run from year to year.
Our guides on opening a corporate bank account, the Business Facilitation Unit and annual Registrar filings cover the related requirements.

Frequently asked questions
Can a P.O. box be used as the registered office?
No. The Registrar states that the registered office must not be a mailbox.
How quickly must a new address be notified?
Within 14 days of the change, using form HE2.
Does a virtual office make my company tax resident in Cyprus?
Not by itself. Tax residence depends on where the company is managed and controlled, not only on its address.
