Cyprus beneficial ownership register confirmation 2026

The Cyprus beneficial ownership register in 2026: who must file, the 90-day and 45-day deadlines, the 1 October to 31 December confirmation and the penalties.

Cyprus keeps a central, fully electronic register of the beneficial owners of companies, partnerships and European public limited companies. It implements the EU anti-money laundering rules and is run by the Department of the Registrar of Companies and Intellectual Property, separately from the company’s ordinary file at the Registrar.

Entering beneficial owners in this register is one of the first obligations after incorporation, alongside the steps in our guide on how to set up a company in Cyprus. Each year there is also a confirmation window, and for 2026 it runs from 1 October to 31 December. This article sets out the rules as published by the Registrar as of October 2026.

Key takeaways

  • All companies under Cap. 113, European public limited companies and partnerships fall within the register.
  • New entities must file their beneficial owners within 90 days of incorporation or registration.
  • Changes must be filed within 45 days of the date the change came to the entity’s attention.
  • Every entity must confirm its details once between 1 October and 31 December 2026.
  • Missing the confirmation can lead to fines of up to €5,000, and directors can share liability.

Who must file and what is recorded

The register covers every company incorporated or registered under the Companies Law, Cap. 113, every European public limited company (SE) and every partnership. For each beneficial owner, the entity records identification details and the nature and extent of the interest held. Where no natural person qualifies as a beneficial owner after due diligence, the entity records its senior management officials instead.

The register is updated only through the online system at ubo.meci.gov.cy, which is accessed with CY Login credentials. There is no paper alternative.

The deadlines that apply during the year

The Registrar’s guidance sets two fixed periods outside the annual confirmation:

Event Deadline

|—|—|

Initial filing for a new entity Within 90 days of incorporation or registration
Change in beneficial owner details Within 45 days of the change coming to the entity’s attention
Annual confirmation Once between 1 October and 31 December
Reply to a discrepancy notice Within 30 days of the Registrar’s notice

The 45-day period runs from the date the entity became aware of the change, which is why a shareholders’ register that is kept up to date by the company secretary is so useful in practice.

The 2026 confirmation window

The Registrar’s announcement for 2026 confirms that all organisations must access the system between 1 October and 31 December 2026 and confirm the details of their beneficial owners or senior management officials, or confirm the due diligence carried out, as the case may be.

Three practical points follow from the guidance:

  • the confirmation is carried out only once in the period, and a later change does not require a second confirmation;
  • if a first filing or a change falls inside the window, it must be completed first and then confirmed by 31 December;
  • a new entity whose 90-day deadline falls inside the window must also confirm its details by 31 December.

In the system, the user selects the organisation update option, opens the beneficial owners tab and chooses the confirmation step for the current year, before making the final submission.

If you would like a team to look after the confirmation and the wider compliance calendar, our corporate services page describes how we support companies after incorporation.

Penalties for non-compliance

Failure to complete the confirmation by 31 December makes the entity liable to a fine of €100 for the first day and €50 for each further day, up to a maximum of €5,000, regardless of any criminal liability. The same scale applies to other failures to file. A director or manager who fails to meet the obligations is jointly and severally liable for the fine, unless they exercised due diligence and the failure was not due to their own act or omission.

Discrepancy reports

Banks, auditors, administrative service providers and supervisory authorities must report discrepancies they find between the register and their own records. The Registrar may then ask the entity to explain within 30 days, with supporting evidence. A discrepancy can delay a bank account opening or a transaction, so the register should match the information given to the company’s bank. Our guide on opening a corporate bank account in Cyprus explains how banks approach ownership checks.

How it fits with other filings

The beneficial ownership confirmation is separate from the annual return filed with the Registrar and from tax filings. Our guides on the annual return and Registrar filings and on corporate tax deadlines cover those obligations.

Frequently asked questions

Do I need to confirm if nothing has changed?

Yes. The confirmation is required every year between 1 October and 31 December, even when the details are unchanged.

What if a new shareholder joins in November?

The change is filed first and the details are then confirmed, both by 31 December.

Who can be fined?

The entity itself, and directors or managers who neglected the obligation can be jointly liable.
