A BVI business company is one of the most widely used vehicles for international holding and trading structures. It is formed under the BVI Business Companies Act, 2004, always through a licensed registered agent.

Overview

A flexible vehicle for international business.

The British Virgin Islands offer a company law designed for businesses whose owners, customers and activities are spread across several countries.

Companies are registered by the Registry of Corporate Affairs, part of the BVI Financial Services Commission. According to the Commission, BVI law draws no distinction between a company established to operate within the Territory and one that operates from it, and a business company has full capacity to carry on any lawful activity. In practice, most BVI companies hold investments, own shares in operating subsidiaries or contract internationally, while their management and people are based elsewhere.

AT Express is headquartered in Cyprus, with offices in the United Kingdom, Hong Kong, China, Vietnam and Singapore. We coordinate BVI formations with licensed registered agents and help clients decide whether the BVI is the right choice, or whether an onshore company would serve them better.

Company type

Five forms, one usual choice.

The Act allows five types of business company: a company limited by shares; a company limited by guarantee, with or without authority to issue shares; and an unlimited company, with or without authority to issue shares. For almost all private holding and trading purposes, the company limited by shares is the appropriate form.

Limited partnerships and trusts. The BVI also offer limited partnerships under the Limited Partnership Act, 2017, and trusts, including VISTA trusts designed to hold shares in a BVI company. These are specialist structures and require tailored legal advice.
Key features

What sets the BVI apart.

  • One director and one shareholder are sufficient, and either may be an individual or a company.
  • No requirement for a local director; meetings may be held anywhere.
  • Treasury shares and a wide range of share classes are permitted.
  • A mature legal system based on English common law, with a specialist commercial court.
  • Beneficial ownership information is held by the registered agent and made available to the competent authorities, rather than published.

Considering a BVI company?

We can explain how a BVI company would fit your structure, the due diligence involved and the annual costs, before you commit.

Tax policy

Tax in the BVI and beyond it.

BVI business companies are not generally subject to income tax in the Territory at present. The BVI Inland Revenue Department administers payroll tax, which applies to remuneration for services performed in the BVI, so a company with no staff there will not usually be affected.

That is only half the picture. The owners and directors remain taxable where they live, and many countries apply controlled foreign company rules, management and control tests or anti-avoidance provisions to income earned through low-tax companies. Since 2019, BVI companies carrying on certain relevant activities, such as holding, finance, distribution or intellectual property business, must also meet economic substance requirements and report annually through their registered agent.

Following the Council of the European Union’s revision of 9 October 2026, the British Virgin Islands appear in Annex II, the state-of-play document for cooperative jurisdictions with pending commitments, rather than on the EU list of non-cooperative jurisdictions in Annex I. We check the current position before recommending a BVI structure.

Independent advice. The effect of a BVI company on your personal tax position depends on your country of residence. Our international tax planning page explains how we work with licensed advisers.
Pros and cons

A balanced view.

+

Advantages

  • Straightforward company law that is widely understood by lawyers, funds and banks.
  • No local director and no requirement to file full accounts publicly.
  • Well suited to holding companies, joint ventures and group restructuring.
  • Generally no income tax at company level in the Territory.
−

Considerations

  • Banks apply enhanced due diligence to low-tax jurisdictions, so opening an account can take time.
  • Economic substance rules may require real activity in the BVI for some businesses.
  • An annual financial return must now be prepared and filed with the registered agent.
  • Some counterparties and tax authorities scrutinise BVI structures more closely.
Requirements

What you will need.

  • A licensed BVI registered agent and a registered office in the Territory, maintained at all times.
  • At least one director and one shareholder, individual or corporate.
  • A memorandum and articles of association suited to the intended activity.
  • Identification and due diligence documents for every director, shareholder and beneficial owner, typically including a certified passport, proof of address and an explanation of the source of funds and wealth.
  • A short description of the business, its countries of operation and its expected transactions.
Process and timeline

From first call to certificate.

01

Structure review

We agree the purpose of the company and confirm that the BVI is appropriate.

02

Name and due diligence

The registered agent checks the name and completes its know-your-customer review.

03

Constitution

The memorandum and articles are prepared and signed by the registered agent.

04

Incorporation

The registered agent files with the Registry, which issues a certificate of incorporation.

05

After formation

Directors are appointed, registers are prepared and banking applications begin.

Only a licensed registered agent may apply to incorporate a BVI company. Timing depends mainly on how quickly the due diligence documents are complete; we confirm a realistic timetable in our written proposal.

Ongoing compliance

Keeping the company in good standing.

  • Annual government fees are payable to the Registry to keep the company on the register.
  • Annual financial return. Most companies must file a financial return, comprising a balance sheet and income statement, with their registered agent within nine months of the end of each financial year. Listed and regulated companies, among others, are exempt.
  • Registers. The register of members, register of directors and copies of filed documents are kept at the registered agent’s office, and the register of directors is filed with the Registry.
  • Beneficial ownership. Ownership information is maintained by the registered agent and must be kept up to date.
  • Economic substance. Companies conducting relevant activities report annually and may need to demonstrate adequate activity in the BVI.
  • Accounting records must be kept and preserved, together with underlying documentation.
Bank accounts

Banking for a BVI company.

BVI companies usually bank outside the Territory, in financial centres such as Hong Kong, Singapore, Switzerland or the European Union, or with licensed electronic money institutions. Each bank sets its own acceptance criteria, and approval is never assured. A clear business rationale, transparent ownership and evidence of real commercial activity make a considerable difference. Questions

Frequently asked questions.

Does a BVI company have to file accounts publicly?
No. BVI companies do not file full accounts on a public register. Most companies must, however, prepare an annual financial return and file it with their registered agent within nine months of their financial year end.
Can I be the only director and shareholder?
Yes. A BVI business company may have a single director and a single shareholder, and the same person may hold both roles. Corporate directors are also permitted.
Does a BVI company pay tax?
BVI business companies are not generally subject to income tax in the Territory at present. Owners are, however, taxed according to the rules of their own country of residence, which may attribute the company’s income to them.
Do BVI companies need economic substance?
Companies that carry on relevant activities, such as holding, finance and leasing, distribution or intellectual property business, must meet economic substance requirements and report annually. Many passive holding companies face reduced requirements.
How long does BVI incorporation take?
Once the registered agent has completed its due diligence, incorporation can proceed promptly. The overall timetable depends chiefly on how quickly the identification and source-of-funds documents are provided.
